Software Adhesion Contract

This Software Adhesion Contract governs the provision of the Moovyi platform between BRYCKS and the Tenant identified in the electronic registration completed after payment.
1. Parties
Provider: MATHEUS GOBETTI SILVA DESENVOLVIMENTO DE SOFTWARES LTDA, Brazilian limited liability company, tax ID 64.691.700/0001-52, Rua Pais Leme, 215, Unit 1713, Pinheiros, São Paulo/SP, ZIP 05424-150, operating the Moovyi platform under the trade name BRYCKS. Tenant: the legal entity identified in the post-payment electronic registration.
2. Subject matter
Grant of a non-exclusive, non-transferable license to use the Moovyi platform as Software as a Service (SaaS). The software is licensed, not sold.
3. Billing cycles, term and renewal
The contract starts on payment confirmation, for the cycle chosen at signup, and renews automatically for equal periods:
- Monthly — one-month cycle, no minimum term.
- Annual upfront — twelve-month cycle paid in a single instalment, at a discount.
- Annual instalments — twelve-month cycle at the same discount, paid in 12 monthly instalments. This option commits the Tenant to the 12-month term; early exit is governed by clause 15.3.
The Tenant may opt out of renewal at any time before the end of the current cycle, including from the admin panel, keeping access until the end of the paid period with no penalty. The Provider must give 30 days notice to not renew.
4. Right of withdrawal
The Tenant may withdraw within 7 (seven) calendar days of payment confirmation by contacting support, with a full refund processed through the original payment method within 10 business days, and immediate termination of access.
5. Pricing and payment
- Price equals the published price of the plan and cycle selected by the Tenant; on the Custom plan it equals the sum of the selected modules.
- Recurring charges via credit card (Stripe) or recurring PIX (Abacate Pay), at the Tenant's choice. Full card numbers are never stored by BRYCKS.
- Annual adjustment based on the Brazilian IPCA index, with 30 days prior notice.
6. Delinquency
Payment failure leads to notice; access may be suspended after 10 days and the contract terminated after 30 days of continued non-payment.
7. Service level and support
Support via email and WhatsApp available in the admin panel, Mon–Fri 9am–6pm (BRT). Updates and improvements are included.
8. Plans, modules and plan changes
Features vary by plan. Plan changes and, on the Custom plan, adding or removing modules are available in the admin panel: upgrades take effect immediately with pro-rata charging, downgrades at the start of the next cycle. Removing a module may hide features and their related data, which remain stored and become available again if the module is reactivated, subject to retention periods.
9. Plan usage limits
Each plan carries usage limits (leads, users, monthly emails, storage) published on the pricing page and technically enforced. Reaching a limit may block new records of that category until the plan is upgraded or the next cycle starts, which does not constitute service unavailability.
10. Tenant obligations
- Keep registration and payment data up to date.
- Use the platform in compliance with applicable law, the Terms of Use and the Privacy Policy.
- Be responsible for the accuracy and lawfulness of published content, including content replicated to marketplaces.
- Safeguard access credentials and answer for its Users' actions.
- Comply with LGPD Controller duties for Leads and End Customers, including holding a legal basis before contacting them by email, WhatsApp or Instagram through the platform.
- Comply with the policies of any integrated third party it chooses to use, notably Meta policies for WhatsApp Business and Instagram, marketplace rules and RENAVE regulation.
11. Provider obligations
- Deliver the platform as contracted.
- Adopt reasonable technical and organizational security measures.
- Act as Processor for personal data handled on the Tenant's behalf.
- Keep periodic backups and allow structured data export.
12. LGPD
The Tenant is Controller for leads/end-customer personal data; BRYCKS acts as Processor, following the Tenant's lawful instructions. The specific terms of the Controller × Processor relationship — nature and purpose of processing, security measures, incident notification deadlines, sub-processor list and international transfer rules — are governed by the Data Processing Addendum (DPA), which is an integral part of this Contract and is accepted jointly at signup.
13. Third-party integrations
Optional integrations activated by the Tenant include marketplaces (Mercado Livre, OLX, Webmotors, iCarros), Meta channels (WhatsApp Business, Instagram Direct, Conversions API), electronic signature (Autentique), RENAVE/SERPRO and lookup services (FIPE, CEP, CNPJ, maps). These depend on third-party systems, fees and policies; suspension or discontinuation by the third party is not a breach of this contract and grants no price reduction, unless the integration is the sole subject matter of the contracted module.
14. Confidentiality
Both parties must keep confidential information secret and use it only to perform this contract.
15. Termination
- 15.1. By the Tenant at any time without penalty, effective at the end of the paid cycle; or by the Provider with 30 days prior notice.
- 15.2. Immediate termination for material breach, delinquency over 30 days or misuse.
- 15.3. On the annual instalments cycle, if the Tenant terminates before completing the 12 contracted months, the term-based discount ceases to apply and the Tenant owes the difference between the amounts paid and the prevailing monthly price for the months actually used, capped at the remaining instalments. This does not apply to the right of withdrawal (clause 4), to termination for the Provider's breach, or to refusal of material amendments (clause 17).
- 15.4. Data export available up to 30 days after termination.
16. Limitation of liability
Direct damages are limited to the total amount actually paid by the Tenant in the twelve months prior to the event. Lost profits, indirect damages and damages caused by third parties or force majeure are excluded to the extent permitted by law.
17. Amendments
The Provider may amend this contract with 30 days notice. On material amendments the Tenant may terminate at no cost during the notice period, including on the annual instalments cycle.
18. General provisions
This is an adhesion contract accepted electronically with a record of IP, date, time and document version. The current version of each document and the version accepted by the Tenant remain available in the admin panel under Settings › Legal documents.
19. Governing law and venue
This contract is governed by Brazilian law. The courts of the District of São Paulo/SP, Brazil, are the exclusive venue for disputes.
